Your plans in Switzerland

A Swiss base for your international business

You want to build your own company in Switzerland or establish part of your business here. Firmbase works with you to develop the right local organisation and supports formation and ongoing management. We start with your business model, your existing international activities and the functions your Swiss company will perform.

What your company needs

The services are tailored to what your company needs. Firmbase provides them itself or coordinates them, and remains your point of contact throughout.

Establishment

FormationA GmbH, AG or Swiss branch – with advice and support throughout.Service in detailClose details

We advise you on the right structure and guide the formation of your limited liability company (GmbH) or company limited by shares (AG) through to commercial-register entry. Established procedures provide the foundation, with specific requirements for the articles of association or ownership arrangements incorporated where needed. We also set up and support the Swiss branch of your foreign company.

Bank account opening supportBanking suited to your business model and international structure.Service in detailClose details

Ownership structure, country connections and business model shape the banking options available to your company. We assess suitable approaches with you and prepare the documentation together for appropriate banks or financial service providers. Where relevant, we also consider international solutions and specific formation arrangements. The documentation and our support are tailored to the requirements of the institution concerned.

Ongoing management

InfrastructureA business address, mail handling and a desk or meeting room when needed.Service in detailClose details

We provide your company with a registered office in Baar-Zug and handle its business mail. Whether a desk or meeting room is also needed depends on how you operate locally and which functions are performed here. Together, we establish the right infrastructure and adapt it as your Swiss presence develops.

Board and management mandatesSwiss representation tailored to the responsibilities on the ground.Service in detailClose details

Your company’s legal form, activities and organisation determine how its Swiss representation is structured. We take on the corresponding role as a Swiss-resident managing director, board member or director, either ourselves or through a suitable partner. Together with you, we clarify the local responsibilities, signing authority, decision-making arrangements and ongoing coordination.

FinanceReliable figures to support the running of your company.Service in detailClose details

We manage your company’s finances from day-to-day bookkeeping through to annual financial statements and the tax return, including payroll, social insurance and VAT returns. How this support is organised depends on your business model, transaction volume and operational structure. Together with you, we agree on the division of work and the reports you need for your business decisions.

Corporate HousekeepingMeet ongoing obligations and document changes correctly.Service in detailClose details

We manage ongoing corporate obligations and support changes within your company. Meetings, resolutions and corporate documents are prepared in line with the legal form, articles of association and decisions at hand. We monitor recurring deadlines and handle the necessary commercial-register filings so that documents and register entries accurately reflect your company’s circumstances.

Specialist matters

RegulationInclude regulatory requirements in your plans from the outset.Service in detailClose details

Particularly for FinTech business models and digital assets, the regulatory classification depends on the specific activity and how it is structured. Together with you, we clarify which requirements apply to your plans and what steps follow. These may include membership of a self-regulatory organisation or a FINMA licensing procedure. We coordinate the preparation and support, involving specialist law firms for more detailed legal questions.

NetworkThe expertise you need, coordinated by Firmbase.Service in detailClose details

The question at hand and the countries involved determine which additional specialists are needed. We bring in suitable tax advisers, law firms or auditors and coordinate their input with the other tasks we handle for your company. This may concern tax in your country of residence, work and residence permits, contracts or trademarks. Your contact at Firmbase remains the same, even when several specialists are involved.

Personal support with a clear fee framework

What shapes your fee

Ownership and international connections
Your company’s owners and international connections.
Business model and activities

Planned tasks in Switzerland, business and transaction volumes, and the responsibility we assume.

Infrastructure, a board or management mandate, and finance – with one personal point of contact for your company’s ongoing support.

The base fee for this combination of services is CHF 10'000 per year, plus VAT where applicable.

You receive a written proposal setting out the services you need and your individual fee. It reflects the agreed scope of support and your company’s risk profile, including where you need individual services or a different combination.

Responsibility we choose to take on

I believe we must understand a business before taking responsibility for it. At Firmbase, we shape our support around the company’s actual activities and involve the appropriate specialists for particular questions. I take overall responsibility for the care with which we make decisions and for the quality of our work.

Managing Partner

A clear basis for working together

Your representative in Switzerland gains insight into your business and represents your company in dealings with banks, authorities and business partners. We agree in writing which responsibilities we take on, how decisions are coordinated with you and how you stay informed about our work, reflecting the way your company is organised.

This also brings legal responsibilities and reputational risks for us. We therefore assess the business model, ownership structure, country connections and source of funds. We enter into a working relationship only when we understand its background and can responsibly accept the associated risks.

From your plans to a running business

  1. Your plans

Tell us what you would like to establish in Switzerland and where you need support. Your contact details and a brief description are enough for an initial conversation.

  2. Initial conversation and assessment

During the free initial conversation, we discuss your business model, ownership structure, country connections, and the planned activities in Switzerland. If a more detailed assessment is needed, we agree its scope and fee with you before proceeding.

  3. Proposal and agreement

Once the requirements for working together have been clarified, you receive a written proposal. It sets out the scope of services, responsibilities, and one-off and ongoing fees.

  4. Implementation

We support the formation of your company or the setting up of your branch and put the agreed services in place. Preparation for the banking relationship and any regulatory steps are coordinated with this work.

  5. Ongoing support

Your personal point of contact coordinates the agreed tasks and the specialists involved. As your business or your presence in Switzerland develops, we review the support with you.

What to know before you begin

Yes. A Swiss GmbH or AG can be wholly owned by individuals or companies abroad, and no Swiss co-owner is needed. The company does need at least one person resident in Switzerland who can represent it. What counts is that person's residence. A foreign national living in Switzerland can take on the role, and the person need not hold shares.
